1. Definitions
In these Terms and Conditions ("Terms"), the following definitions apply:

| "Platform" | The DutyDeclared web application available at https://app.dutydeclared.com, including all associated APIs, tools, and services. |
| "Service" or "Services" | The customs declaration management services provided through the Platform, including declaration preparation, submission, AI-assisted classification, document extraction, and related functionality. |
| "User", "you", "your" | Any individual or entity that accesses or uses the Platform, whether as an account holder, Workspace member, or invited collaborator. |
| "Account" | A registered user account on the Platform, authenticated via email and password or other supported authentication methods. |
| "Workspace" | An organisational unit within the Platform representing a business entity, team, or client. Workspaces contain declarations, members, settings, and integrations. |
| "Sub-workspace" | A child Workspace created under a parent Workspace, typically used by customs agents to manage individual client accounts. |
| "Workspace Owner" | The User who created a Workspace and holds the Owner role, with full administrative control over that Workspace. |
| "Declaration" | A customs declaration record created within the Platform, representing an import declaration intended for submission to HMRC via the Customs Declaration Service (CDS). |
| "Goods Item" | An individual line item within a Declaration, representing a specific product or commodity being imported, classified by its HS code, country of origin, and associated details. |
| "CDS" | The Customs Declaration Service, operated by HM Revenue & Customs (HMRC), which processes customs declarations for goods entering or leaving the United Kingdom. |
| "HMRC" | His Majesty's Revenue and Customs, the UK government body responsible for tax collection, customs, and border control. |
| "HSGenie" | The AI-powered commodity code classification tool provided within the Platform. |
| "Document Extraction" | The AI-powered feature that extracts structured data from uploaded documents (invoices, packing lists) for use in customs declarations. |
| "API" & "API Key" | Application Programming Interface provided by the Platform, and the unique credential generated to access it. |
| "Subscription" or "Plan" | The pricing tier selected by a User or Workspace Owner, which determines feature access, usage limits, and billing terms. |
| "Content" | Any data, text, files, documents, images, or other materials uploaded to, created within, or transmitted through the Platform by Users. |
| "HS Code" & "EORI" | Harmonized System code for product classification, and Economic Operator Registration and Identification number. |
2. Acceptance of Terms
2.1. By creating an Account, accessing the Platform, or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any other policies referenced herein.
2.2. If you are using the Platform on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" refer to that entity.
2.3. If you do not agree to these Terms, you must not use the Platform or the Services.
2.4. These Terms apply to all Users of the Platform, including but not limited to customs brokers, freight forwarders, importers, exporters, and any other parties who access the Platform through a Workspace invitation or Declaration collaboration.
3. Service Description
3.1. DutyDeclared is a cloud-based software platform that enables Users to prepare, validate, manage, and submit UK customs import declarations to HMRC via the CDS API.
3.2. The Platform provides the following core capabilities:
- (a) Declaration Management — Create, edit, validate, and manage customs declarations through a structured workflow.
- (b) HMRC CDS Integration — Submit declarations electronically to HMRC via API, and receive status notifications.
- (c) AI-Powered Classification (HSGenie) — An AI assistant that helps identify HS commodity codes.
- (d) Document Extraction — AI and OCR-powered extraction of structured data from trade documents.
- (e) Collaboration — Multi-party collaboration on declarations, with role-based access.
- (f) Workspace Management — Multi-tenant organisational management with user roles and sub-workspaces.
- (g) API Access — A public API for programmatic access to Platform features.
3.3. Important Disclaimer: DutyDeclared is a software platform, NOT a customs brokerage, customs advisory service, freight forwarding service, or HMRC-authorised agent. We provide technology tools that enable Users to manage their own customs declarations. We do not provide customs advice, act as a declarant on behalf of Users, or independently verify the accuracy or legality of any Declaration submitted through the Platform.
3.4. The Platform transmits Declarations to HMRC exactly as instructed and prepared by the User. DutyDeclared does not independently verify customs compliance, duty calculations, commodity classifications, or the validity of any information contained within a Declaration.
4. User Accounts and Registration
4.1. Account Creation. To use the Platform, you must create an Account by providing a valid email address and completing the registration process.
4.2. Accuracy of Information. You agree to provide accurate, current, and complete information during registration and to keep your Account information updated.
4.3. Account Security. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. Notify us immediately at support@dutydeclared.com of any breach.
4.4. One Account Per Person. Each Account is for a single individual User. Do not share credentials.
4.5. Age Requirement. You must be at least 18 years of age to create an Account.
4.6. Verification. We reserve the right to verify user identity and suspend Accounts with false information.
5. Workspaces and User Roles
5.1. Workspace Creation. A Workspace serves as the primary organisational unit for declarations, members, integrations, and billing.
5.2. Workspace Owner Responsibilities. The Owner is responsible for member activities, role management, HMRC credential security, declaration accuracy, payment, and legal compliance.

| Importer/Exporter | Can view declarations relevant to their role. |
| Guest | Read-only access to the Workspace. |
5.4. Sub-workspaces. Owners/Admins may create Sub-workspaces to manage client accounts, sharing the parent's Subscription.
6. Subscription and Payment
6.1. Subscription Plans. The following tiers are currently available:

| Enterprise | Custom limits, dedicated support, and SLA guarantees. |
6.2 - 6.7 Billing & Cancellation. Prices are in GBP or EUR, exclusive of VAT. Billed via Stripe securely. Auto-renews unless cancelled. Cancellation takes effect at the end of the billing period.
6.8. Refund Policy. All fees paid for access to the Service are non-refundable. No refunds or credits will be issued for any unused portion of a subscription period, including early cancellation, downgrade, or termination.
6.11. Usage Limits. Plans have specific limits (declarations, members, API calls). Enforced at point of use.
7. HMRC Integration
7.1. Nature of Integration. The Platform integrates with HMRC's CDS via their official API using OAuth 2.0.
7.2. Credentials. You must authorise DutyDeclared via HMRC's OAuth flow using your valid Government Gateway account. You are responsible for credential security.
7.3. Software Intermediary. DutyDeclared acts solely as a software intermediary. We transmit Declarations exactly as prepared by you. We do not act as your customs agent or guarantee HMRC acceptance.
7.4. User Responsibility. You are solely responsible for accuracy, legal compliance, HS classification, valuation, and any resulting penalties or duties.
7.6. Payment Methods. You are responsible for ensuring selected HMRC payment methods (deferment, cash accounts) are valid and funded.
8 & 9. Obligations & Acceptable Use
Compliance & Accuracy: You must comply with UK customs law, data protection legislation, and ensure all entered data is truthful and accurate. You must retain your own documents per HMRC requirements (typically 4 years).
Prohibited Activities: You agree NOT to use the platform for unlawful purposes, submit fraudulent declarations, attempt to breach security, scrape data, reverse engineer the platform, transmit malware, or use AI features outside of customs management context.
We reserve the right to suspend accounts violating these terms.
10. Intellectual Property
10.1. Platform Ownership. All software, design, APIs, and AI models are owned by DutyDeclared Limited.
10.3. User Content. You retain ownership of all Content you upload. You grant us a licence to process it solely to provide the Services.
11. Data and Privacy
This section constitutes the data processing agreement required under UK GDPR. You act as the Data Controller for declaration data, and DutyDeclared acts as the Data Processor.

11.7 Security Measures & 11.8 Sub-processors
We implement TLS 1.3 encryption, Google Cloud KMS for tokens, and role-based access controls. Authorised sub-processors include Google Cloud Platform (UK/EEA), Stripe (UK), and Amplitude (EU).
12. AI Features Disclaimer
12.2. AI as an Aid, Not an Authority. AI-generated outputs (HSGenie, Document Extraction) are provided as aids and are not definitive, authoritative, or guaranteed to be correct.
12.3. User Verification Required. You must review and verify all AI suggestions before submission. We hold no liability for losses or penalties arising from reliance on AI outputs.
13 & 14. Liability & Warranties
"As Is" Basis. The Platform is provided "AS IS" without warranties. We do not guarantee HMRC acceptance or uninterrupted service.
Limitation of Liability. To the maximum extent permitted by law, DutyDeclared shall NOT be liable for penalties imposed by HMRC, duty miscalculations, delayed clearances, or indirect damages. Our total aggregate liability shall not exceed the greater of Subscription fees paid in the last 12 months, or GBP 500.
